Indra's Ordinary General Shareholders' Meeting held on 27 June 2024 at the company's headquarters in Alcobendas, Madrid, ratified Marc Murtra as executive chairman of the company, approved the appointment of Javier Escribano as proprietary director representing Advanced Engineering and Manufacturing, SL, and endorsed the creation of Indra Espacio to spin off all the company's activities in this sector, after approving all the points on the agenda.

The 82.0334% of shareholders present or represented at the Meeting approved the annual accounts, the management report and the sustainability report for 2023 of the group, as well as the payment of a dividend of twenty-five euro cents (0.25 euros) gross per share charged to last year's profits, which will be paid on 11 July.

Also approved at the AGM was the management of the Board of Directors in 2023, with Elena García effectively leaving the Board as an independent director, as well as the modification of the remuneration policy for 2024, 2025 and 2026, and the medium-term incentive for 2024-2026. The shareholders also endorsed the Annual Remuneration Report 2023 submitted to a consultative vote and were informed of the amendments made to the Board Regulations.

They also supported the spin-off of the space business in favour of the subsidiary Indra Espacio, which will bring together all of Indra's capabilities in the space sector. The new subsidiary will be one of the pillars on which a NewCo will be created with end-to-end capabilities and open to the participation of other shareholders, with the aim of ensuring sovereignty in communications, which is key for the defence sector, but also for the civilian world.

Indra Group: new brand model

Chairman Marc Murtra and CEO José Vicente de los Mozos presented to shareholders the rebranding project, which involves the creation of Indra Group to evolve towards a more flexible holding model, which will encompass the Indra and Minsait commercial brands.
